Data Access Provisions

Certain features of a Service are expected to allow access to private documents that are only available to investors, potential investors and other parties to a CLO or other investment transaction (“Deal Documents”). Subscriber hereby agrees, and each time a User requests access to Deal Documents via the Service, will be deemed to agree, that Deal Documents constitute Confidential Information subject to the Agreement which may only be utilized in accordance with applicable federal and state securities laws and the specific terms of the applicable Deal Documents. Further, Subscriber hereby certifies that it is, or it is acting on behalf of, a Qualified Institutional Buyer (as such term is defined in Rule 144A under the U.S. Securities Act of 1933) or a person that is not a U.S. Person (as such term is defined in Regulation S under the U.S. Securities Act of 1933).

Data License Provisions

The following provisions shall apply to the Data indicated and Subscriber shall comply with all terms and conditions with respect to the access and use thereof.

I. Terms Applicable to Moody’s Data

(applicable to all subscribers)

1. DISCLAIMER.

CREDIT RATINGS ISSUED BY MOODY’S INVESTORS SERVICE, INC. AND ITS RATINGS AFFILIATES (“MIS”) ARE MOODY’S CURRENT OPINIONS OF THE RELATIVE FUTURE CREDIT RISK OF ENTITIES, CREDIT COMMITMENTS, OR DEBT OR DEBT-LIKE SECURITIES, AND CREDIT RATINGS AND RESEARCH PUBLICATIONS PUBLISHED BY MOODY’S (“MOODY’S PUBLICATIONS”) MAY INCLUDE MOODY’S CURRENT OPINIONS OF THE RELATIVE FUTURE CREDIT RISK OF ENTITIES, CREDIT COMMITMENTS, OR DEBT OR DEBT-LIKE SECURITIES. 2. Moody’s Rights to Data.

Subscriber agrees and acknowledges that the Moody’s Data is and shall remain the valuable intellectual property owned by, or licensed to, Moody’s Analytics, Inc., (“Moody’s”) and that no proprietary rights are being transferred to Subscriber in such materials or in any of the information contained therein. Subscriber agrees that misappropriation or misuse of such materials shall cause serious damage to Moody’s and that in such event money damages may not constitute sufficient compensation to Moody’s; consequently, Subscriber agrees that in the event of any misappropriation or misuse, Moody’s shall have the right to obtain injunctive relief in addition to any other legal or financial remedies to which Moody’s may be entitled.

3. Securities Disclosures

Moody’s Investors Services, Inc. (“MIS”), a wholly-owned credit rating agency subsidiary of Moody’s Corporation (“MCO”), hereby discloses that most issuers of debt securities (including corporate and municipal bonds, debentures, notes and commercial paper) and preferred stock rated by MIS have, prior to assignment of any rating, agreed to pay to MIS for the appraisal and rating services rendered by it fees ranging from $1,500 to approximately $2,500,000. MCO and MIS also maintain policies and procedures to address the independence of MIS's ratings and rating processes. Information regarding certain affiliations that may exist between directors of MCO and rated entities, and between entities who hold ratings from MIS and have also publicly reported to the SEC an ownership interest in MCO of more than 5%, is posted annually at www.moodys.com under the heading "Investor Relations -- Corporate Governance -- Director and Shareholder Affiliation Policy."

Subscriber expressly agrees, on behalf of itself and each of its Users that it permits to use the Service or Data that (i) the credit ratings and other opinions, and valuations, quotes, statistical, quantitative or other information contained in the Service and Data are, and will be construed solely as, statements of opinion and not statements of fact or recommendations to purchase, hold or sell any securities, (ii) the Service and Data will be weighed solely as one factor in any investment decision made by or on behalf of Subscriber or any User, and (iii) it will accordingly make its own study and evaluation of each security, and of each issuer and guarantor of, and each provider of credit support for, each security that it may consider purchasing, holding or selling. Subscriber agrees, on behalf of itself and each User, that (a) none of the credit ratings and other opinions, and valuations, quotes, statistical, quantitative or other information contained in the Service or Data, or any statements or disclosures by Moody’s to Valitana, Subscriber or a User regarding the foregoing, shall create any duty of care on the part of Moody’s or any Moody’s Affiliate to Subscriber, (b) neither Moody’s nor any Moody’s  Affiliate is acting as a financial adviser to Subscriber, and (c) none of the credit ratings and other opinions, and valuations, quotes statistical, quantitative or other information contained in the Service or Data (whether in oral or written form) or statements or other communications supplied by Moody’s or any of its employees, representatives or agents shall constitute a representation or a warranty, or the provision of investment advice.

4. Not a Real-Time Service

Subscriber acknowledges and understands that the Moody’s Ratings Delivery Service is not a real-time service, and that it may not reflect the most recent changes to ratings and other information published by Moody’s Investors Service (“MIS”), until MIS completes its regularly scheduled updates to the service. Users of this service must refer to the official MIS press release announcements of ratings and related changes available on its website to receive up to date information.

II. Terms Applicable to S&P Data

(applicable to all subscribers)

1. Neither Company, S&P, their affiliates nor any of their suppliers shall have any liability for the accuracy or completeness of the information or software furnished through the Company Service, or for delays, interruptions or omissions therein nor for any lost profits, indirect, special or consequential damages;

2. The S&P Services are not investment advice and a reference to a particular investment or security, a credit rating or any observation concerning a security or investment provided in the S&P Services is not a recommendation to buy, sell or hold such investment or security or make any other investment decisions;

3. S&P, their affiliates or their suppliers have exclusive proprietary rights in the S&P Services and any information and software received in connection therewith;

4. Subscriber shall not use or permit anyone to use the S&P Services for any unlawful or unauthorized purpose;

5. The S&P Services are being provided for Subscriber’s internal use only and Subscriber is not authorized or permitted to distribute or otherwise furnish such information or software to any third-party without prior written approval of S&P;

6. Access to the S&P Services is subject to termination in the event that any agreement between Company and S&P terminates for any reason; and

7. S&P may enforce its rights against Subscriber as the third-party beneficiary of the Agreement, even though S&P is not a party to the Agreement.

III. Terms Applicable to INTERACTIVE DATA

(applicable to all subscribers)

1. INTERACTIVE DATA AND ITS SUPPLIERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO MERCHANTABILITY, FITNESS OR ANY OTHER MATTER AND SHALL HAVE NO LIABILITY TO SUBSCRIBER OR ANY THIRD PARTY FOR ANY ERRORS, OMISSIONS OR MALFUNCTIONS IN THE SERVICES.

2. Subscriber acknowledges that the Services are intended for use by institutional investors, registered brokers, professionals and others of similar sophistication and experience.

3. Subscriber accepts responsibility for, and acknowledges it exercises its own independent judgment in, its selection of any of the Services, its selection of the use or intended use of such, and any results obtained. Nothing contained herein shall be deemed to be a waiver of any rights existing under applicable securities law.

4. Except in the event of Vendor’s gross negligence or willful misconduct, Subscriber shall indemnify Interactive Data and its suppliers against and hold Interactive Data harmless from any and all losses, damages, liability, costs, including attorney's fees, resulting directly or indirectly from any claim or demand against Interactive Data or its suppliers by a third party arising out of or related to any Services received by Subscriber, or any data, information, service, report, analysis or publication derived therefrom. Neither Interactive Data nor its suppliers shall be liable for any claim or demand against Subscriber by a third party.

5. Interactive Data and its third party suppliers shall constitute third party beneficiaries hereunder.

In the event that Subscriber at any time receives Data from Interactive Data Pricing and Reference Data containing evaluations, rather than market quotations, for certain securities or certain other data related to such securities, the following provisions will apply: (i) evaluated securities are typically complicated financial instruments. There are many methodologies (including computer-based analytical modeling and individual security evaluations) available to generate approximations of the market value of such securities, and there is significant professional disagreement about which is best. No evaluation method, including those used by Interactive Data Pricing and Reference Data, may consistently generate approximations that correspond to actual "traded" prices of the instruments; (ii) Interactive Data Pricing and Reference Data's methodologies used to provide the pricing portion of certain Data may rely on evaluations; however, Subscriber acknowledges that there may be errors or defects in Interactive Data Pricing and Reference Data's software, databases, or methodologies that may cause resultant evaluations to be inappropriate for use in certain applications; and (iii) Subscriber assumes all responsibility for edit checking, external verification of evaluations, and ultimately the appropriateness of use of evaluations and other pricing data provided via the Service in Subscriber’s applications, regardless of any efforts made by Interactive Data Pricing and Reference Data in this respect. Subscriber shall indemnify and hold Interactive Data Pricing and Reference Data completely harmless in the event that errors, defects, or inappropriate evaluations are made available via the Service or the Data.

IV. Terms Applicable to MARKIT

(subscribers using MARKIT loan pricing – requires separate agreement with MARKIT)

Neither Markit, its affiliates nor any third party data or service provider makes any warranty, express or implied, as to the accuracy, non-infringement, completeness or timeliness of the data contained herewith nor as to the results to be obtained by recipients of the data. Neither Markit, its affiliates nor any third party data or service provider shall in any way be liable to any recipient of the data for any inaccuracies, errors or omissions in the Markit data, regardless of cause, or for any damages (whether direct or indirect) resulting there from.

Opinions, estimates and projections in this report do not reflect the opinions of Markit or its affiliates. Markit has no obligation to update, modify or amend this report or to otherwise notify a reader thereof in the event that any matter stated herein, or any opinion, projection, forecast or estimate set forth herein, changes or subsequently becomes inaccurate.

Without limiting the foregoing, neither Markit, its affiliates nor any third party data or service provider shall have any liability whatsoever to you, whether in contract (including under an indemnity), in tort (including negligence), under a warranty, under statute or otherwise, in respect of any loss or damage suffered by you or any third party as a result of or in connection with any opinions, recommendations, forecasts, judgments, or any other conclusions, or any course of action determined, by you or any third party, whether or not based on the data, content, information or materials contained herein.

V. Terms Applicable to CUSIP Data

(applicable to all subscribers)

Subscriber agrees and acknowledges that the CUSIP Database and the information contained therein is and shall remain valuable intellectual property owned by, or licensed to, CUSIP Global Services ("CGS") and the American Bankers Association ("ABA"), and that no proprietary rights are being transferred to Subscriber in such materials or in any of the information contained therein. Any use by Subscriber outside of the clearing and settlement of transactions requires a license from CGS, along with an associated fee based on usage. Subscriber agrees that misappropriation or misuse of such materials will cause serious damage to CGS and ABA, and that in such event money damages may not constitute sufficient compensation to CGS and ABA; consequently, Subscriber agrees that in the event of any misappropriation or misuse, CGS and ABA shall have the right to obtain injunctive relief in addition to any other legal or financial remedies to which CGS and ABA may be entitled.

Subscriber agrees that Subscriber shall not publish or distribute in any medium the CUSIP Database or any information contained therein or summaries or subsets thereof to any person or entity except in connection with the normal clearing and settlement of security transactions. Subscriber further agrees that the use of CUSIP numbers and descriptions is not intended to create or maintain, and does not serve the purpose of the creation or maintenance of, a master file or database of CUSIP descriptions or numbers for itself or any third party recipient of such service and is not intended to create and does not serve in any way as a substitute for the CUSIP MASTER TAPE, PRINT, DB, INTERNET, ELECTRONIC, CD-ROM Services and/or any other future services developed by the CGS.

NEITHER CGS, ABA NOR ANY OF THEIR AFFILIATES MAKE ANY WARRANTIES, EXPRESS OR IMPLIED, AS TO THE ACCURACY, ADEQUACY OR COMPLETENESS OF ANY OF THE INFORMATION CONTAINED IN THE CUSIP DATABASE. ALL SUCH MATERIALS ARE PROVIDED TO SUBSCRIBER ON AN "AS IS" BASIS, WITHOUT ANY WARRANTIES AS TO MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR USE NOR WITH RESPECT TO THE RESULTS WHICH MAY BE OBTAINED FROM THE USE OF SUCH MATERIALS. NEITHER CGS, ABA NOR THEIR AFFILIATES SHALL HAVE ANY RESPONSIBILITY OR LIABILITY FOR ANY ERRORS OR OMISSIONS NOR SHALL THEY BE LIABLE FOR ANY DAMAGES, WHETHER DIRECT OR INDIRECT, SPECIAL OR CONSEQUENTIAL, EVEN IF THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHERMORE, CGS AND ABA SHALL HAVE NO RESPONSIBILITY OR LIABILITY FOR DELAYS OR FAILURES DUE TO CIRCUMSTANCES BEYOND THEIR CONTROL.

Subscriber agrees that the foregoing terms and conditions shall survive any termination of its right of access to the materials identified above.

VI . Terms Applicable to Intex Data

Access or use to Intex Data will require Subscriber to have a separate agreement with Intex prior to Subscriber’s access to or use of such Data.
